ION METRICS, INC. APPOINTS DAVID J. FERRAN AS EXECUTIVE CHAIRMAN TO THE BOARD OF DIRECTORS
Ferran to lead Ion Metrics acquisition efforts and strategic growth initiatives
San Diego, CA, April 28, 2007 – Ion Metrics, Inc. (IMI) announces the appointment of David J. Ferran as Executive Chairman to the board of directors, to lead the company’s acquisition efforts and strategic growth initiatives.
Mr. Ferran brings over 30 years of extensive experience as chairman, CEO, president and board-level advisor with both private and publicly traded corporations, and currently serves as Chief Executive Officer of Noblemen Group.
As Co-Founder and Managing Director of Noblemen Group, a boutique investment banking and business development firm focused on semiconductor and other technology related industries. Ferran’s recent assignments at Noblemen have included:
- Engaged as advisor to a large U.S. Private Equity firm in the attempted acquisition of $1 billion division of a publicly traded German company.
- Retained as exclusive investment banking representative by a $3 billion Japanese publicly traded company in regards to a $780 million acquisition of a Japanese competitor.
- Retained as exclusive investment banking representative in the successful sale of a U.S. pressure regulator company to a publicly traded Japanese company.
- Retained as seller’s exclusive investment banking representative in the divestiture of a U.S. based $50 million vacuum components business.
Ferran’s career as a growth oriented business leader began in 1979, when he co-founded and later became the president of Vacuum General, a manufacturer of pressure measurement and control instrumentation.
In 1989, Vacuum General acquired then public Tylan Corporation, creating Tylan General. As CEO of Tylan General, Ferran helped grow the company to over $150 million in annual sales. He also arranged a series of private financings, and managed the company’s IPO and second public offering. In 1996 Ferran led the defense of Tylan against an unwelcome hostile takeover and subsequently closed on a sale of the company to a strategic buyer for $165 million in cash.
Then, in 1997, Ferran embarked upon a three-year turnaround and restructuring of publicly traded SubMicron Systems Corporation, a manufacturer of semiconductor processing equipment. As Chairman and CEO., Mr. Ferran successfully developed and executed a restructuring plan that streamlined the manufacturing processes, significantly reduced operating expenses and restored customer confidence. During the process, Ferran raised three rounds of capital and restructured the company’s debt. As part of the restructuring process the company was renamed, “Akrion, now a successful global competitor.
In 2001, Ferran served as a division president for Mattson Technology (NASDAQ:MTSN), a publicly traded semiconductor equipment manufacturing company. At Mattson, Ferran led the negotiating team in 6 months of negotiations conducted in the U.S., Japan and Europe, resulting in the settlement of a five year intellectual property dispute with a major Japanese competitor and winning for Mattson $70 million in guaranteed cash payments as settlement for damages as well as an additional $30 million in revenue based royalties. After the successful settlement of the lawsuit, Mattson’s board elected to sell the division. Ferran left Mattson soon thereafter to form the Noblemen Group.
